4. Payments and Fees

All fees are agreed upon in advance and outlined in client contracts or quotations.
Payments must be made according to the schedule specified in the invoice or service agreement.
Late payments may result in suspension of services until balances are settled.

5. Intellectual Property

All content on our website (logos, designs, text, images, and materials) is the intellectual property of Penguin Networks unless otherwise noted.
Any software, configurations, or documentation developed for a client remain the property of Penguin Networks unless expressly transferred by contract.
Clients receive a non-exclusive, non-transferable right to use delivered solutions as specified in the service agreement.

6. Confidentiality

Penguin Networks maintains strict confidentiality regarding client data, systems, and communications. We do not disclose confidential information to third parties without prior consent, except where required by law.

7. Warranties and Disclaimers

We guarantee that all services will be delivered with professionalism, expertise, and adherence to industry standards.
However, we do not warrant that all systems will be error-free, uninterrupted, or immune to third-party risks.
Our liability is limited to correcting or replacing defective services or equipment as outlined in specific contracts.

8. Limitation of Liability

Penguin Networks shall not be held liable for:

Indirect, incidental, or consequential damages.
Loss of data, revenue, or business resulting from the use of our services.
Any issues caused by misuse, third-party interference, or factors beyond our control (e.g., power outages, natural disasters).

9. Third-Party Products and Services

We may integrate third-party products or services into our solutions. While we ensure quality and compatibility, Penguin Networks is not responsible for failures or defects originating from third-party systems.

10. Termination of Services

We reserve the right to suspend or terminate services if:

A client breaches these Terms or a service contract.
Payments remain outstanding beyond agreed timelines.
Service use is unlawful or harmful to our reputation, staff, or infrastructure.

11. Amendments

We may update or revise these Terms at any time. Changes will be posted on our website, and continued use of our services after updates constitutes acceptance of the new Terms.
